INTRODUCTION This Master Legal Agreement (“Agreement”) governs the use of the Sparkle Car Wash mobile and web applications (“App”) operated by Skyology Technologies LLC, 221 River St., Hoboken, NJ 07030. By accessing or using the App, you agree to be bound by this Agreement. END USER LICENSE AGREEMENT (EULA) Skyology Technologies LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Sparkle Car Wash App for personal use. Restrictions: You may not copy, modify, reverse engineer, decompile, redistribute, or commercially exploit the App. No Warranty: The App is provided “as is” and “as available,” without warranties of any kind. Limitation of Liability: To the maximum extent permitted by law, Skyology Technologies LLC shall not be liable for any damages arising from use of the App. Apple Disclaimer: Apple is not responsible for the App and has no obligation to provide maintenance or support. Arbitration & Governing Law: All disputes shall be resolved by binding arbitration in New Jersey under New Jersey law. PRIVACY POLICY Sparkle Car Wash collects limited personal data to operate the marketplace. Information Collected – Users: Name, email address, phone number, vehicle information, and precise location data for active wash requests only. Information Collected – Vendors: Name, email, phone number, photo ID, insurance information, background check information, vehicle data, and location data. Location Use: Precise GPS location is required to facilitate washes and is stored only for the duration of the wash request. Data Storage: Data is stored in a PostgreSQL database hosted on Replit. No Data Sales: Sparkle does not sell user or vendor data. Data Deletion: Users and vendors may request account and data deletion. Age Restriction: Sparkle Car Wash is intended for users age 16 and older. Governing Law: This Privacy Policy is governed by New Jersey law. GENERAL TERMS OF SERVICE Sparkle Car Wash is a technology platform only and does not provide car wash services. Independent Contractors: All car washers are independent contractors and are not employees, agents, or partners of Sparkle. Payments: Sparkle does not handle payments or refunds. Disclaimers: Sparkle disclaims all responsibility for property damage, personal injury, theft, vendor conduct, in-person interactions, service quality, missed appointments, and payment disputes. Reviews: Users and vendors may rate and review one another. Sparkle does not guarantee review accuracy. Termination: Access may be suspended or terminated at any time without notice. Arbitration & Class Action Waiver: All disputes shall be resolved by binding arbitration. Users waive the right to participate in class actions. Governing Law: These Terms are governed by New Jersey law. VENDOR SERVICE AGREEMENT Independent Contractor Status: Vendors are independent contractors and not employees of Skyology Technologies LLC. Vendor Responsibilities: Vendors set pricing, provide their own equipment and supplies, and are solely responsible for service quality and compliance with laws. Insurance: Vendors are responsible for maintaining any required insurance coverage. Payments: Vendors handle all payments directly with users. Indemnification: Vendors agree to indemnify and hold harmless Skyology Technologies LLC from claims arising out of vendor services, conduct, negligence, or omissions. Suspension & Removal: Sparkle may suspend or remove vendors at any time without notice for safety or compliance reasons. Limitation of Liability: Sparkle is not liable for vendor earnings, losses, disputes, or service outcomes. Arbitration: Vendor disputes shall be resolved by binding arbitration in New Jersey. Governing Law: This Agreement is governed by New Jersey law.
